Acceptable Use Policy

Introduction

Welcome, and thank you for your interest in Sellona Incorporated (“ Sellona,” “ us,” “ our,” or “ we”). This Acceptable Use Policy (this " AUP") governs your access to and use of www.Sellona.com or any networks, mobile applications, or other digital services by Sellona (the “ Digital Properties”) and any services available through the Digital Properties (the “ Digital Services” together with the “Digital Properties, the “Services”), including any content, functionality accessed through the Services, whether as a guest or a registered user. Sellona reserves the right to amend, alter, or modify your conduct requirements as outlined in this AUP at any time. If you do not want to agree to this AUP, you must not access or use the Services.

  Prohibited Uses

You may use the Services only for lawful purposes and in accordance with this AUP. You agree not to use the Services:

• In any way that violates, or induces or solicits others to violate, any applicable federal, state, local, or international law or regulation (including, without limitation, any laws regarding the export of data or software to and from the US or other countries) in any way that is prohibited by this AUP or under the Terms of Use;
• For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way by exposing them to inappropriate content, asking for personally identifiable information, or otherwise.
• To send, knowingly receive, upload, download, use, or re-use any material that violates the rights of any individual or entity established in any jurisdiction.
• To transmit or procure the sending of any advertising or promotional material, including any "junk mail," "chain letter," "spam," or any other similar solicitation.
• To impersonate or attempt to impersonate the Company, a Company employee, another user, or any other person or entity (including, without limitation, by using email addresses or screen names associated with any of the foregoing).
• To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Services, or which, as determined by us, may harm the Company or users of the Services or expose them to liability.

Additionally, you agree not to:

• Circumvent or reverse engineer the Services or our systems or to gain unauthorized access to any areas of the Services, or any other systems or networks connected to the Services, or to any of the services offered on or through the Services that are not intended for access by you, by hacking, password “mining,” or any other illegitimate means;
• Use the Services in any manner that could disable, overburden, damage, or impair them or interfere with any other party's use of them, including their ability to engage in real-time activities through them.
• Take any action that imposes an unreasonable or disproportionately large load on the infrastructure of the Services or our systems or networks, or any systems or networks connected to the Services, including by “flooding” the Services with requests;
• “harvest," "scrape," "stream catch" or collect information from the Services using an automated software tool (including but not limited to the use of robots, spiders, or other automatic device, process, or means to access the Services for any purpose);
• Use any manual process to monitor or copy any Services traffic or resources available on the Services or for any other unauthorized purpose without our prior written consent.
• Use any device, software, or routine that interferes with the proper working of the Services.
• Manipulate or forge identifiers to disguise the origin of any information posted on the Services or otherwise provided to us or our employees;
• Engage in tactics to, or direct or encourage others to, bypass or attempt to bypass the Services or our systems to avoid complying with any of our policies, paying applicable fees, or complying with any other contractual obligations;
• Introduce any viruses, trojan horses, worms, logic bombs, or other software or material that is malicious or technologically harmful.
• Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Services or any server, computer, database, or other resource or element connected to the Services.
• Violate, attempt to violate, or knowingly facilitate the violation of the security or integrity of the Services.
• Use the Services to gain competitive intelligence about us, the Services, or any product offered through the Services or to otherwise complete with us or our affiliates, or use information on the Services to create or sell a similar product or information;
• Otherwise, attempt to interfere with the proper working of the Services.

Content Standards

You agree not to use the Services to post, send, knowingly receive, upload, download, use, or re-use any material which:

• Inaccurate, not up-to-date, or otherwise misleading.
• Contains any material that is defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory, fraudulent, or otherwise objectionable.
• Promotes sexually explicit or pornographic material, violence, or discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age or is otherwise violative of our Nondiscrimination Policy.
• May create a risk of harm, loss, physical or mental injury, emotional distress, death, disability, disfigurement, or physical or mental illness to you or any other person.
• Infringes any patent, trademark, trade secret, copyright, or other intellectual property or other rights of any other person.
• Violates the legal rights (including the rights of publicity and privacy) of others or contains any material that could give rise to any civil or criminal liability under applicable laws or regulations.
• Is likely to deceive any person.
• Promotes any illegal activity or advocates, promotes, or assists any unlawful act.
• Causes annoyance, inconvenience, or needless anxiety or is likely to upset, embarrass, alarm, or annoy any other person.
• Impersonates any person or misrepresents your identity or affiliation with any person or organization.
• Involves high-pressure sales activities, such as spam, robocalls, or other invasive or coercive sales or marketing practices.
• Falsely gives the impression that they emanate from or are endorsed by us or any other person or entity.
• Violates or possibly causes us to violate any applicable law, statute, ordinance, or regulation or encourages criminal conduct.
• Scans or tests the vulnerability or security of our Services or the system within which it operates or involves uploading or insertion of any programming language or code into or onto our Services.
• Contains your personal information that you do not wish to be made public or displayed, or contains another person's personal information or otherwise invades another person's privacy.
• Contains any information (such as insider, proprietary, or confidential information) that you do not have a right to make available due to contract, fiduciary duty, or operation of law.
• Unless otherwise permitted by us, it advertises the products or services of others, contains links to third-party websites, or solicits business for products or services other than those offered and promoted on the Services.
• Or otherwise creates liability for Sellano, its affiliates or users in any manner.
• Nondiscrimination Policy

We want all users to feel welcome and included in our Services. Accordingly, we prohibit discrimination based on race, color, religion, sex, national origin, ancestry, ethnicity, immigration status, disability, marital, family, pregnancy status, sexual orientation, gender identity, gender expression, veteran or citizenship status, age, or any other characteristic protected under applicable federal, regional, state, or local law. Such discrimination includes but is not limited to refusing to provide or accept services or any other conduct that improperly takes into account these characteristics. This prohibition applies to posting discriminatory content, such as reviews or forum posts, on the Services. At our discretion, we will take steps to enforce this policy, including suspending or terminating violators from the Services. If you experience discrimination from any user of the Services, please contact us at support@sellona.com with the subject "Nondiscrimination Policy" so we can investigate and take appropriate measures.

Ratings and Reviews

• Ratings. Users may provide ratings and reviews (“ Ratings”) about products and services offered on the site. Users may only leave one Rating per unique transaction. The user leaving the Rating must have conducted business with the Expert and be able to provide proof of that interaction. All Experts that receive Ratings will have the opportunity to respond publicly to the Rating within our interface.
• Evidence of Business Relationship. Evidence of the business relationship between a User and Expert may include a signed contract, engagement letter, or formal proof of payment (i.e., cashed check, credit card statement, paid invoice, or receipt). We do not accept editable documents or email correspondence as evidence. We reserve the right to request additional information regarding proof of business relationship.
• Accuracy of Ratings. You acknowledge that Ratings consist of opinions left by other users and a machine-calculated feedback score. Users must comply with this AUP when posting Ratings; however, we have no control over the truth or accuracy of Ratings submitted through the Services. Users who undermine the integrity of our Rating system in any way may have their access to the Services suspended or terminated.
• Filing a Ratings Dispute. If you believe a Rating you received is misleading or inaccurate, you may initiate a Rating dispute by contacting us at support@Sellona.com.
• Our Ratings Review Team. All Ratings are subject to review by our Ratings Review Team. The Ratings Review Team may review any Rating submitted through the Services. Common reasons for a Rating review are Rating disputes, inaccurate Ratings, or misleading Ratings. Any Rating the Ratings Review Team investigates may be temporarily or permanently removed.
• Manipulating Ratings and Reviews. A key component of the Services is the ability of users to leave Ratings for other users to read and evaluate. Therefore, you shall not:
  • Attempt to restrict in any way a user's ability to post a Raing, by contract or otherwise;
  • Offer cash or other compensation or thing of value in any form in exchange for a favorable Rating;
  • Copy or transfer the content of a Rating posted on the Services to any other site, including your own personal or business site, or otherwise include in marketing materials, regardless of the form, without prior written consent from us; or
  • Solicit Ratings or attempt to receive multiple Ratings from the same user.

Account Flagging System

Users are able to report violations of this AUP through our flagging system. Users can "flag" texts/content that do not comply with this AUP. A "Flag as Inappropriate" link will appear on certain pages. When accessed, the popup window will appear asking the user to specify the reason for the violation. This information will then be sent to us for investigation. If, in our sole discretion, we deem the violation legitimate, a warning may be issued to the violating user. We may also suspend or terminate the violating user's access to the Services. You agree not to flag any content that you do not, in good faith, believe is inappropriate.

Monitoring and Enforcement

Sellona, in its sole discretion, will determine whether your conduct is in compliance with this AUP. We have the right to:

• Monitor your use of the Services for any purpose in our sole discretion and as we see fit.
• Take any action we deem necessary or appropriate in our sole discretion if we believe a user's conduct violates this AUP, infringes any intellectual property right or other right of any person or entity, threatens the personal safety of users of the Services or the public, or could create liability for the Company.
• Disclose your identity or other information about you to any third party who claims that material posted by you violates their rights, including their intellectual property rights or their right to privacy.
• Take appropriate legal action, including without limitation, referral to law enforcement, for any illegal or unauthorized use of the Services.
• Terminate or suspend your access to all or part of the Services for any or no reason, including, without limitation, any violation of this AUP.

Without limiting the foregoing, we have the right to fully cooperate with any law enforcement authorities or court order requesting or directing us to disclose the identity or other information of anyone who accesses or uses the Services. YOU WAIVE AND HOLD HARMLESS SELLONA AND ITS AFFILIATES, LICENSEES, AND SERVICE PROVIDERS FROM ANY CLAIMS RESULTING FROM ANY ACTION TAKEN BY ANY OF THE FOREGOING PARTIES]DURING, OR TAKEN AS A CONSEQUENCE OF, INVESTIGATIONS BY SUCH PARTIES OR LAW ENFORCEMENT AUTHORITIES.
